Named Finalist for Best Proxy Statement at the Corporate Governance Awards

In early November 2016, more than 400 corporate professionals in governance, risk and compliance ​​ gathered to celebrate best-in-class award winners and nominees at the ninth annual Corporate Secretary Corporate Governance Awards in New York City.

Prologis was honored to be nominated in the Best Proxy Statement category. In a field of tough and talented competitors, Korn Ferry took home the award. The nomination, however, was a great honor for Prologis, demonstrating our enduring focus on strong corporate governance. The company was the only real estate industry nominee across all 15 Corporate Governance Award categories.

The nomination was the culmination of tremendous cross-functional efforts to revamp the proxy statement in response to feedback from institutional investors. A Prologis team, including our lead independent director and the head of our board compensation committee, met with more than 65 percent of Prologis’ stockholders to discuss compensation and governance matters. The result of these conversations was a decision to overhaul the proxy statement to make it more accessible and easier to use.

The overhaul effort, spearheaded by chief legal officer Ed Nekritz and SVP/associate general counsel Deborah Briones, was exemplary of the cross-departmental collaboration that is integral to Prologis corporate culture. The legal team painstakingly rebuilt the document, focusing on stockholders’ needs as their guiding principle. The investor relations team created an extensive stockholder outreach program for governance and executive compensation and provided key insights for design and messaging. The marketing team took style and overall look and feel to a whole new level. As is typical at Prologis, the corporate accounting, human resources, and financial planning and analysis teams all worked like clockwork to provide agile support to the team.
